Terms of Service

These Terms govern your use of Muninn. They are written to be readable, but they are a binding agreement — including a binding arbitration clause and a class-action waiver. Please read carefully.

Safety notice — read this first. Muninn generates flight plans for unmanned aircraft. Following a Muninn-generated plan can result in property damage, serious bodily injury, or death — to you, to bystanders, or to your aircraft. You, the remote pilot in command, are solely responsible for the safe and lawful operation of your aircraft, for verifying every aspect of the flight plan before launch, for maintaining visual line of sight (or holding the appropriate waiver), for complying with all applicable aviation regulations (including 14 CFR Part 107 in the United States and equivalent rules in other jurisdictions), and for the consequences of every flight you make. Muninn is a planning aid. It is not an autopilot, not an air traffic control system, not a flight authorizer, and not a substitute for your own judgment, training, and pre-flight checks.

These Terms of Service (the “Terms”) form a binding contract between you (“you,” “your,” or “User”) and Muninn (“Muninn,” “we,” “us,” or “our”), the operator of the website at muninn.observer and any related software, APIs, exports, and processing services (collectively, the “Service”). By creating an account, accessing the Service, downloading a flight export, or uploading photographs, you agree to be bound by these Terms. If you do not agree, do not use the Service.

If you accept these Terms on behalf of an organization, you represent that you have the authority to bind that organization, and “you” refers to both you personally and the organization.

You must be at least eighteen (18) years old, or the age of majority in your jurisdiction, to create an account or purchase a paid plan. The Service is not directed to children under thirteen (13), and we do not knowingly collect personal information from anyone under thirteen. If we learn that we have collected such information, we will delete it.

You also represent and warrant that: (a) you are not a person barred from using the Service under the laws of the United States or any other applicable jurisdiction; (b) you are not on any U.S. government list of prohibited or restricted parties; (c) you are not located in a country subject to a U.S. government embargo or designated as a “terrorist supporting” country; and (d) you will comply with all applicable export-control and sanctions laws in your use of the Service.

Muninn is a software tool that helps remote pilots plan autonomous drone missions and, optionally, process photographs into orthophotos and 3D models using third-party photogrammetry software. The Service produces flight files (such as KMZ and Litchi CSV files) that you load into a separate flight-control application on hardware you own and operate.

Muninn is not:

Operating a drone is an inherently risky activity that is regulated by aviation authorities in every jurisdiction. By using the Service you acknowledge and agree that you are the remote pilot in command (PIC) of every flight you conduct using a Muninn-generated plan, and that you are solely responsible for:

You agree that the Service is a planning aid only, that automated flight modes carry inherent risks (including but not limited to GPS error, signal loss, sensor failure, software defect, electromagnetic interference, weather change, bird or wildlife strike, obstacle in the flight path, and battery failure), and that no representation made by the Service shall be construed as a guarantee that any particular flight is safe, lawful, or authorized.

The Service displays airspace, weather, terrain elevation, and aircraft-traffic information sourced from third parties — for example, the Federal Aviation Administration (FAA) ArcGIS services, Open-Meteo, Copernicus DEM, airplanes.live, and similar sources. This information is:

Specifically and without limitation, you acknowledge that ADS-B traffic feeds do not show all aircraft (military, opted-out, low-altitude general-aviation, helicopters operating without ADS-B Out, etc.), that elevation models can be inaccurate or outdated by years or decades, that airspace boundaries and altitudes shown may be simplified, and that weather data may be hours stale at the time you see it.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must promptly notify us of any unauthorized use. We are not liable for any loss arising from your failure to keep credentials secure.

You agree to provide accurate, current, and complete information when registering, and to keep that information up to date. We may refuse registration, cancel an account, reclaim a username, or terminate access at our discretion as described in Section 14.

You agree not to, and not to allow any third party to:

You retain ownership of the content you upload — including photographs, mission plans, polygons, parcel boundaries, and any imagery you submit for 3D processing (collectively, “User Content”). We do not claim ownership of your User Content.

You grant Muninn a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, transmit, copy, transcode, process, display, and otherwise use your User Content solely as necessary to operate, secure, and improve the Service for you — for example, to run photogrammetry processing, deliver outputs to your account, generate previews, and maintain backups. This license terminates when you delete your User Content, except for backups retained for a commercially reasonable period and any rights we are required to retain by law.

You represent and warrant that you own or have the necessary rights to your User Content, that its upload and processing through the Service does not violate any law or third-party right (including the privacy and publicity rights of any individuals depicted), and that you have obtained any consents required to capture and process imagery of any property, person, or area depicted in it.

We may, but are not obligated to, monitor, screen, or remove User Content that we reasonably believe violates these Terms. If you believe content on the Service infringes your copyright, contact us at [email protected] with a written notice that satisfies the requirements of the Digital Millennium Copyright Act, 17 U.S.C. § 512.

The Service, including its software, source code, models, designs, text, graphics, logos, sounds, look and feel, and the “Muninn” name and marks, is owned by Muninn or its licensors and is protected by copyright, trademark, and other laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your own lawful drone operations during the term of your account. All rights not expressly granted are reserved.

Feedback, suggestions, or ideas you submit to us about the Service are non-confidential, and you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or attribution.

Plans and credits

The Service is offered as a free tier and as paid subscription plans (Hobbyist, Pro, Operator) and one-time credit packs. Plan and pack details, including prices and credit allotments, are described on our pricing page, which forms part of these Terms by reference. We may change prices, plan structures, credit allotments, or feature gating prospectively, and will give reasonable notice of material changes.

Billing

Subscriptions are billed in advance through Stripe at the cadence shown at checkout (monthly unless otherwise stated). By subscribing you authorize us and our payment processor to charge your payment method on each renewal until you cancel. Subscriptions auto-renew until canceled. You can cancel at any time from the billing portal; cancellation takes effect at the end of the current paid period.

Subscription credits vs. pack credits

Subscription credits reset at each renewal and do not accrue: any unused subscription credits at the end of a billing cycle are forfeited. Pack credits (one-time purchases) are added to your balance and never expire while your account is active. The Service debits subscription credits before pack credits.

Free tier

The free tier includes a single, lifetime, non-renewing credit intended for evaluation. The free credit, once consumed, is not replenished, regardless of job outcome (other than as set out under “Refunds” below). Free outputs may be watermarked. Free accounts are subject to caps, including limits on saved missions, photo count per job, and processing quality, all as described in the Service.

Refunds

All charges are final and non-refundable, except (a) where required by applicable law (including any non-waivable consumer-protection right in your jurisdiction); or (b) at our discretion in cases such as a job that fails through clear fault of the Service. We may, but are not obligated to, restore credits to your account in lieu of a cash refund. Disputed credit-card charges should be raised with us first via [email protected]; chargebacks initiated without first contacting us may result in immediate account suspension.

Taxes

Prices are exclusive of any taxes, levies, or duties imposed by your taxing authority, which are your responsibility.

We work to keep the Service running, but we do not guarantee that the Service will be uninterrupted, error-free, or available at any particular time. The Service is provided without a service-level agreement unless we expressly enter into one with you in writing. We may add, modify, suspend, or discontinue any feature, mission type, output format, third-party data layer, or integration at any time, with or without notice. We may impose usage limits or rate limits to protect the Service.

We rely on third-party infrastructure (including hosting providers, GPU compute providers, object storage, payment processors, email senders, and upstream data providers). Outages, rate limits, or policy changes by those providers may impair the Service, and we are not responsible for their acts or omissions.

The Service integrates with or links to third-party services (for example, Stripe for payments, MailerSend for email, Wasabi for storage, RunPod for GPU compute, and the data providers listed in Section 5). Your use of those services is governed by their own terms and privacy policies. We are not responsible for and do not endorse third-party services, and we expressly disclaim any liability arising from your interactions with them.

Your privacy is addressed in our Privacy Policy, available on request via [email protected], which is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and disclosure of your information as described there. If a Privacy Policy is later published at a dedicated URL on this site, that URL will become the controlling reference.

You may terminate your account at any time by canceling your subscription and requesting account deletion. We may suspend or terminate your access, in whole or in part, immediately and without prior notice if we reasonably believe that you have violated these Terms, that your use creates risk to the Service, to us, to other users, or to a third party, or that suspension or termination is required by law. Upon termination, your right to use the Service ends; sections of these Terms that by their nature should survive (including Sections 4, 5, 7–9, 15–22) will survive.

If we terminate your account for cause based on your breach of these Terms, no refund of subscription fees or pack credits will be issued.

Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the foregoing exclusions apply to the fullest extent permitted by law.

You acknowledge that the limitations in this Section reflect a reasonable allocation of risk and are an essential basis of the bargain between you and Muninn, and that without these limitations the Service could not be offered to you on these economic terms. These limitations apply even if a remedy fails of its essential purpose.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages; in those jurisdictions our liability is limited to the smallest amount permitted by law.

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Muninn and its officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, demands, suits, proceedings, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) any flight you conduct, plan, or facilitate using outputs of the Service, including any property damage, personal injury, death, trespass, nuisance, surveillance, or privacy claim; (c) your User Content, including any imagery captured, processed, or distributed; (d) your violation of these Terms, applicable law, or any third-party right; or (e) any misrepresentation by you. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with our defense.

Read this section carefully — it affects your legal rights and requires arbitration on an individual basis.

Informal resolution first

Before filing any claim, you agree to attempt to resolve the dispute informally by emailing [email protected] with a brief written description of the dispute, your contact information, and the relief you seek. Muninn will attempt to resolve the dispute by responding in writing within sixty (60) days. If the dispute is not resolved within sixty (60) days of our receipt of your notice, either party may commence arbitration as set out below.

Binding arbitration

Except as set out below, any dispute, claim, or controversy arising out of or relating to these Terms or the Service (each, a “Dispute”) shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (or, for non-consumer Disputes, its Commercial Arbitration Rules), as modified by these Terms. The arbitration will be conducted in English, in the State of Maine, United States, or by video, telephone, or written submission as the AAA rules permit. The arbitrator's award is final and binding and may be entered as a judgment in any court of competent jurisdiction.

Exceptions

The following are excluded from arbitration: (a) small-claims actions brought on an individual basis; (b) actions seeking only injunctive or other equitable relief to stop unauthorized use of, or harm to, the Service or our intellectual-property rights; and (c) any claim that, by law, cannot be subjected to arbitration.

Opt-out

You may opt out of this arbitration agreement by emailing [email protected] with the subject line “Arbitration Opt-Out” within thirty (30) days of first accepting these Terms, including your name, account email, and a clear statement that you wish to opt out. Opting out has no other effect on your rights under these Terms.

Time bar

You and Muninn agree that any Dispute must be commenced within one (1) year after the cause of action arose, or the Dispute is permanently barred, except where applicable law requires a longer period and that period cannot be shortened by agreement.

These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of the State of Maine, United States, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

For any Dispute not subject to arbitration under Section 18, the exclusive venue is the state or federal courts located in the State of Maine, and you and Muninn each consent to the personal jurisdiction of those courts.

We may revise these Terms from time to time. We will post the revised Terms on this page and update the “Last updated” date. For material changes, we will use reasonable means to notify you, such as a notice within the Service or an email to the address on your account. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance. If you do not agree to the revised Terms, your sole remedy is to stop using the Service and cancel your account.

Entire agreement

These Terms, together with any policy referenced herein and any order form or written agreement between us, constitute the entire agreement between you and Muninn regarding the Service and supersede any prior or contemporaneous understandings.

Severability

If any provision of these Terms is held unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or, if it cannot be modified, severed; the remaining provisions will remain in full force.

No waiver

Our failure to enforce any provision is not a waiver of our right to enforce it later.

Assignment

You may not assign or transfer these Terms or any rights under them without our prior written consent; any attempt to do so is void. We may assign these Terms freely, including to a successor in connection with a merger, acquisition, or sale of assets.

Force majeure

Neither party is liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, war, terrorism, civil unrest, government action, labor disputes, internet or utility outages, third-party-provider failures, fire, flood, earthquake, or pandemic.

Independent contractors

You and Muninn are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship.

No third-party beneficiaries

These Terms do not confer any rights on any third party, except as expressly stated.

U.S. government end-users

The Service is “commercial computer software” and “commercial computer software documentation” as those terms are used in 48 C.F.R. 12.212 and 48 C.F.R. 227.7202. Any use, modification, reproduction, release, performance, display, or disclosure by U.S. Government end-users is governed solely by the terms of these Terms.

Electronic communications

You consent to receive communications from us electronically (email and notices posted in the Service), and you agree that all such communications satisfy any legal requirement that the communication be in writing.
